This agreement is entered into between you (hereinafter "you" or "your") and Uphold. By accessing, using, or clicking "I agree" on Uphold or any of its affiliates' related services (hereinafter "services"), you confirm that you have read, understood, and agreed to all the terms and conditions listed in this "Terms of Use Agreement" (hereinafter "Terms of Use"), as well as our published Privacy Statement. Additionally, when using certain features of the services, you may be subject to additional terms and conditions applicable to those features. Please read these terms carefully to understand the regulations regarding your use of the services. These "Terms of Use" contain important provisions, including a mandatory arbitration clause, which requires all claims to be resolved through mandatory arbitration. The arbitration clause is further explained in Section 14 "Dispute Resolution: Location, Arbitration, Class Action Waiver, Applicable Laws." Like any asset, the value of digital currencies can fluctuate, and there are significant financial risks when buying, selling, holding, or investing in digital currencies. By using this service, you acknowledge and agree to the following:

(1) You understand the risks associated with digital currency transactions;

(2) You bear all risks involved in using the service and engaging in digital currency transactions;

(3) Uphold is not responsible for these risks or any adverse consequences. By accessing, using, or attempting to use the service in any manner, you confirm and agree to be bound by these "Terms of Use." If you do not agree, please do not access or use this product.

1. Agreement Terms
Uphold reserves the right to modify or change these "Terms of Use" at any time, at its sole discretion. Uphold will notify you of such changes by updating the revised terms on the website and revising the "Last Revised Date" displayed on this page. Any modifications or changes to these "Terms of Use" will take effect immediately upon posting on the website or being sent to users. Therefore, by continuing to use Uphold's services, you accept the revised terms and conditions. If you do not agree to any changes to these "Terms of Use," you should stop using the service immediately. Uphold encourages you to frequently review these "Terms of Use" to ensure that you understand the terms and conditions applicable to your access and use of the product.

2. Eligibility
By registering for a Uphold account (as defined in Section 5 below), you represent and warrant that:

(a) You are at least 18 years of age or have reached the legal age required to enter into a valid contract under applicable laws;

(b) You are an individual, legal entity, or other organization with full legal capacity and authority to sign these "Terms of Use";

(c) You have not been suspended or disqualified from using this service;

(d) You do not currently have a Uphold account. If you are an employee or agent of a legal entity and are signing these "Terms of Use" on behalf of the entity, you represent and warrant that you have all necessary rights and authority to bind the entity.

3. Prohibited Use
By accessing and using the service, you represent and warrant that you are not listed on any trade or economic sanctions lists (such as the UN Security Council sanctions list). Uphold reserves the right to select the markets and jurisdictions in which it operates and may at its discretion restrict or deny services in certain countries.

4. Service Description
     Uphold provides an online digital asset trading platform (crypto-to-crypto) for trading products commonly referred to as cryptocurrency tokens, digital tokens, or cryptocurrencies (collectively "digital currency").  Uphold acts only as a platform provider and is not a buyer or seller on behalf of the parties involved in the trade. Uphold is not a market maker. As further detailed in Section 5, users must register and open a Uphold account and deposit digital assets before beginning to trade.

Traders may apply to withdraw digital assets but must comply with the relevant restrictions outlined in these "Terms of Use." While Uphold strives to maintain the accuracy of the information published through the service, Uphold cannot and does not guarantee the accuracy, applicability, reliability, completeness, performance, or suitability of the content provided through the service and does not assume any responsibility for any loss or damage that may result from the use of such content. The information in the service may change without notice and is primarily intended to assist users in making independent decisions. Uphold does not provide investment or advisory services and is not responsible for the use or interpretation of information or other communications provided through the service. All service users must understand the risks involved in digital currency transactions. Uphold expects all users to act prudently and to engage in transactions responsibly.

      Uphold provides a service for the online purchase of cryptocurrency using fiat currency, with cryptocurrencies sourced from partners (third-party individuals or business sellers). Users only need to contact customer service to be matched with local sellers. The customer service team will match the user with the bank account of the local partner, and the user must follow the customer service instructions to complete the payment transfer. The funds will be deposited into the seller's bank account, and the user must provide a screenshot of the successful transfer receipt for verification. After successful verification, the corresponding cryptocurrency will be deposited into the user's account.

5. Uphold Account Registration and Requirements
a. Registration

All service users (hereinafter "users") must register a Uphold account to use the service. When registering an account, you must provide your full name, email address, and password, and accept these "Terms of Use," the Privacy Statement, and the consent agreement. Uphold may, at its discretion, refuse to open an account for you. You agree to provide complete and accurate information when registering your account and to promptly update the information provided to Uphold to maintain its accuracy and completeness. Each registration is valid for one user, and each user (including any users that are part of an enterprise or legal entity) may only open one valid Uphold account.

b. User Identity Verification

By registering for a Uphold account, you agree to provide the required personal information for identity verification. This information is specifically used to identify potential signs of money laundering, terrorist financing, fraud, and other financial crimes conducted on the Uphold platform. We will collect, use, and share this information according to our Privacy Statement. In addition to providing this information, you agree to allow us to retain records of this information for the duration of your account's lifecycle and for five years after account closure, in compliance with global industry data retention standards. You also authorize us to conduct necessary investigations to verify your identity or protect you and/or us from financial crimes (such as fraud). These investigations may be conducted by third parties. The identity verification information we require may include, but is not limited to: your name, email address, contact information, phone number, username, government-issued ID, date of birth, and other information collected during account registration. When providing this information, you confirm that it is truthful and accurate. After registration, you must ensure that your information remains truthful and complete, and update it promptly when changes occur. If we suspect any information you provided is incorrect, false, outdated, or incomplete, Uphold has the right to notify you, request correction, and delete the relevant information. Additionally, we may suspend or terminate your use of the service, in full or in part, depending on the situation. If we are unable to conta

ct you using the provided contact information, you will be responsible for any loss or costs incurred during your use of the service. You hereby confirm and agree that it is your obligation to keep your information up-to-date. By registering your account, you hereby authorize Uphold to conduct investigations it deems necessary, either directly or through third parties, to verify your identity or protect you and/or Uphold from fraud or other financial crimes, and take measures Uphold deems necessary based on the investigation results. You also confirm and agree that your personal information may be disclosed to credit reporting agencies and departments that prevent fraud or financial crimes, which may respond to our investigations.

c. Account Usage Requirements
The account may only be used by the registered account holder. Uphold reserves the right to suspend, freeze, or cancel any unauthorized use of your account. If you suspect or discover that someone has used your username and password without authorization, you must immediately notify Uphold. Uphold is not responsible for any loss or damage resulting from the use of your account by you or any third party (whether authorized or not).

d. Account Security

Uphold is committed to maintaining the security of funds held by users and implements industry-standard security measures for the service. However, individual users' actions may pose risks. You agree to treat your access credentials (such as username and password) as confidential information and not to disclose them to any third party. You also agree to take necessary security measures to protect the security of your account and personal information. You are responsible for safeguarding your Uphold account and password and for all transactions under your account. Uphold is not responsible for any loss or consequences caused by the authorized or unauthorized use of your account credentials, including but not limited to information disclosure, information publishing, clicking on websites, agreeing to or submitting various rules and agreements, online renewals of agreements, etc. When creating an account, you agree:

(1) If you become aware that your Uphold account and password have been used without authorization or that there is another security breach, you will immediately notify Uphold;

(2) You will strictly adhere to the security, authentication, transaction, charging, and exit mechanisms or procedures of the website/service;

(3) You will take appropriate measures to log out of the website after each session.

6. Service Usage Guidelines

a. License

Provided you continue to comply with the specific terms and conditions of these "Terms of Use," Uphold grants you a revocable, limited, royalty-free, non-exclusive, non-transferable, non-sub-licensable license to access and use the service through your computer or internet-compatible device for your personal internal purposes. You may not use the service for resale or commercial purposes, including trading on behalf of others or entities. All such uses are expressly prohibited and constitute a significant violation of these "Terms of Use." The arrangement, format, functions, and access rights of the service are determined by Uphold at its sole discretion. Uphold reserves all rights not expressly granted under these "Terms of Use." Therefore, you agree that Uphold does not transfer any ownership or intellectual property rights to you or any other party. When using the service, you will not transfer any of Uphold's intellectual property. All texts, graphics, user interfaces, visual interfaces, photos, sounds, artwork, computer codes (including HTML), programs, software, products, information, and documents, as well as the design, structure, selection, coordination, expression, "look and feel," and arrangement of any content, are owned, controlled, and/or licensed exclusively by Uphold or its affiliates, parent companies, licensors, or subsidiaries. Uphold will own all rights, titles, and interests in any feedback, suggestions, ideas, or other informa

tion or materials ("Feedback") you provide via email, service, or otherwise. You hereby transfer all ownership, title, and interest in Feedback and related intellectual property rights to Uphold. You will not be entitled to any form of acknowledgment or compensation based on Feedback or any modifications based on Feedback.

b. Restrictions

When you use these services, you agree and covenant to comply with the following provisions:

i. All activities you engage in during your use of the service will comply with applicable laws, regulations, and Uphold’s various guidelines;

ii. Your use of the service will not violate public interest, public morals, or the legal rights of others, including taking any actions that interfere with, disrupt, or negatively impact others' ability to use the service;

iii. You agree not to use these services for market manipulation (such as price manipulation, wash trading, self-trading, front-running, order filling, false orders, or stacking orders, whether or not illegal);

iv. Without Uphold’s written consent, the following commercial activities are prohibited:

(1). Using Uphold's pricing or market announcement boards for trading services.

(2). Using any market data provided by Uphold for display or data stream services.

(3). Any other fee-generating activities, including profit-making via advertising or referral fees.

(4). You may not modify, copy, download, store, further distribute, transmit, broadcast, deliver, dismantle, publish, delete, or change any copyright notices or labels, licenses, sublicenses, sell, mirror, lease, rent, private label, grant encumbrance rights, create derivative works, or otherwise exploit the property or any part of the property, without Uphold’s written consent.

(5). You may not use any "deep links," page scraping, "robots," "spiders," or other automated devices, programs, scripts, algorithms, or methods, or any similar or equivalent manual processes to access, retrieve, copy, or monitor any part of the property or to bypass or circumvent the service’s navigation structure or presentation, in an effort to obtain or attempt to obtain any material, document, or information, through any means made available by the service.

(6). Attempting to gain unauthorized access to any part or feature of the property or service through hacking, password "mining," or any other illegal or prohibited means.

(7). Reverse lookup, track, or attempt to track any other user or visitor's information;

(8). Taking any actions that place an unreasonable or disproportionate load on the infrastructure of the service or Uphold's system or network, or any other systems or networks connected to the service;

(9). Using any device, software, or program that interferes with the normal operation of the service or any transactions conducted within the service, or interferes with anyone else’s use.

(10). Forging headers, impersonating others, or otherwise manipulating identifiers to disguise the origin of any message or transmission you send to the service.

Or using the service in any illegal manner. By accessing this service, you agree that Uphold has the right to investigate whether there has been a violation of these "Terms of Use" and to unilaterally determine whether any violation of these "Terms of Use" has occurred and take appropriate action.
